Terms of Service

These terms govern your clinic’s use of the Clinical Systems International platform and our X-ray line-drawing service. By opening an account or using the service, the clinic agrees to them.

1. The agreement

These terms form an agreement between Clinical Systems International (“CSI”, “we”) and the clinic or organisation that opens an account (“you”). Where an individual accepts these terms, they confirm they are authorised to bind that organisation.

2. What we provide

• A hosted clinical records and charting system.
• A digital X-ray viewbox with comparison and overlay tools.
• A patient-facing portal and a clinic portal.
• Hosting, backup and software updates for the above.
• On request, X-ray line drawing and analysis performed by our team.

We may improve or change features over time. We will not remove a material feature you rely on without giving reasonable notice.

3. Fees

There are two charges, and both are shown on our pricing page before you commit.

• Platform subscription — billed monthly in advance, per clinic.
• X-ray line drawing — charged per radiograph analysed, metered and billed in arrears on the following month’s invoice.

Line-drawing charges depend on how many radiographs you submit, so the total varies between periods. Every invoice itemises the number of drawings billed. You are charged only for drawings you request.

Prices exclude any tax that applies in your jurisdiction, which will be added where we are required to collect it. We may change prices on thirty days’ written notice; a change takes effect at your next renewal, and if you do not accept it you may cancel before it applies.

4. Payment

Payments are processed by Stripe. By providing a payment method you authorise us to charge the subscription fee each month and the metered line-drawing fee in arrears. We do not receive or store your full card details.

If a payment fails we will retry and notify you. If an invoice remains unpaid for thirty days we may suspend access to the service. We will not delete your data because of non-payment without first giving you notice and an opportunity to export it.

5. Cancellation and refunds

You may cancel at any time. Cancellation takes effect at the end of the billing period you have already paid for, and you keep access until then.

• Subscription fees already paid are not refunded pro rata for a partial month.
• Line-drawing fees for work already completed are not refundable, as the analysis has been performed and delivered.
• If we fail to deliver a drawing you have been billed for, or deliver it incorrectly, we will redo it or credit the fee.
• If we materially breach these terms and do not fix it within thirty days of your written notice, you may cancel and receive a pro-rata refund of the unused portion of your subscription.

On cancellation we make your data available for export for ninety days, after which it is deleted in line with our Privacy Policy.

6. Your data and your responsibilities

Patient records you put into the system remain yours. We claim no ownership of them and process them only to provide the service, as described in our Privacy Policy and the data-processing terms of this agreement.

You are responsible for obtaining the consents and legal basis needed to store patient data in our system, the accuracy of what you and your staff enter, keeping account credentials secure and closing accounts for staff who leave, and clinical decisions made using the system.

7. Clinical responsibility

CSI provides software and measurement. It does not practise medicine and does not provide diagnosis or treatment advice. Line drawing reports the landmarks marked and the measured deviation from the alignment model; interpreting that measurement, and every clinical decision that follows from it, remains the responsibility of the treating practitioner.

8. Availability

We aim to keep the service continuously available, but we do not guarantee uninterrupted operation. We carry out planned maintenance with advance notice where practical, and outside normal clinic hours where we can.

9. Acceptable use

You agree not to attempt to access records belonging to another clinic; probe, scan or test the security of the service except with our written permission; resell or sublicense access without our agreement; upload malicious code or content you have no right to upload; or use the service in a way that breaks the law that applies to you.

10. Suspension and termination

We may suspend an account immediately where continued use presents a security risk or breaches section 9, and we will tell you why. Either party may terminate for material breach that is not remedied within thirty days of written notice.

11. Liability

Nothing in these terms limits liability that cannot lawfully be limited. Subject to that, neither party is liable for indirect or consequential loss, or for loss of profit, revenue or anticipated savings. Our total liability in any twelve-month period is limited to the fees you paid us in that period.

12. Changes to these terms

We may update these terms. Material changes take effect thirty days after we notify account holders by email. Continuing to use the service after that date means you accept the updated terms.

13. Governing law

These terms are governed by the laws of the Sultanate of Oman, and the courts of Oman have exclusive jurisdiction, unless a mandatory law in your own country provides otherwise.
